By accessing or using Zainside ("the Platform", "we", "us"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Platform. These terms apply to all users, including free and paid subscribers.
Zainside is an operational intelligence platform for founders. It provides structured business analysis, decision tracking, assumption monitoring, health scoring, and operational memory tools based on information you submit. The Platform generates reports, scores, and insights using AI-powered analysis.
The Platform is currently in beta. Features, pricing, and availability may change during this period. We will provide reasonable notice of material changes to registered users.
All outputs generated by Zainside — including analyses, scores, strategic directions, valuations, and recommendations — are informational only. They do not constitute legal, financial, investment, accounting, tax, or professional business advice of any kind.
Zainside analyses are generated by AI models and are based solely on the information you provide. They reflect probabilistic inference, not verified research. Outputs may be incomplete, inaccurate, or unsuitable for your specific situation.
You should always seek qualified professional advice before making any significant business, financial, or legal decision. Zainside expressly disclaims any liability for decisions made in reliance on Platform outputs.
You must register an account to access the Platform. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.
You must be at least 18 years of age to use the Platform. By registering, you confirm that you meet this requirement.

You retain ownership of the information you submit to the Platform ("User Content"). By submitting User Content, you grant Zainside a limited, non-exclusive, royalty-free licence to process, store, and use that content solely for the purpose of delivering the Platform's services to you, including AI-powered analysis.
We do not use your User Content to train, fine-tune, or improve AI models — either our own or those of any third party. Your business data is not used to generate outputs for other users.
You confirm that any User Content you submit does not infringe the intellectual property rights, privacy rights, or other legal rights of any third party. You are solely responsible for the accuracy and legality of information you provide. We recommend you do not submit confidential third-party information, trade secrets belonging to former employers, or personally identifiable information about individuals other than yourself.
Platform outputs are generated using AI models operated by third-party providers. Zainside does not guarantee the accuracy, completeness, timeliness, or commercial fitness of any AI-generated content. AI outputs can and do contain errors, omissions, and inaccuracies. They are a starting point for your thinking — not a substitute for professional judgement.
Zainside grants you a personal, non-exclusive, non-transferable licence to use your analysis outputs for your own internal business purposes. You may not resell, redistribute, or commercially exploit outputs as a standalone product. You may not represent AI-generated outputs as verified professional analysis or expert opinion when presenting them to third parties, investors, or in regulated contexts.
To the extent any intellectual property subsists in AI-generated outputs, Zainside asserts ownership of the structured format, scoring frameworks, and presentation layer. Any such rights are licensed to you for personal business use as set out above.
Zainside offers both free access, paid subscription plans (monthly or annual), and one-time purchase products. All fees are stated in USD unless otherwise indicated at the point of purchase. By purchasing any paid product or subscription, you authorise us to charge your nominated payment method accordingly.
Free access during beta: During the current beta period (until 31 July 2026), all features are accessible at no charge. Free access during beta does not constitute a contractual entitlement to continued free access after the beta period ends. We will provide reasonable notice before transitioning to paid-only access.
Subscriptions: Subscription fees are charged at the start of each billing cycle. Cancellations take effect at the end of the current billing period — you retain access until that date. We do not pro-rate partial periods.
One-time purchases: Certain products (including deep-dive analysis reports) are sold as one-time purchases with no ongoing subscription. These are non-refundable once the analysis has been generated and delivered, as the service is fully rendered at that point.
Refunds: Subscription refunds are handled at our discretion for genuine billing errors or technical failures preventing service delivery. If you experience a billing issue contact us at legal@zainside.com within 14 days of the charge.
Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot lawfully be excluded. Where those statutory rights apply, they take precedence over any conflicting provision in these Terms.
We reserve the right to change pricing with reasonable notice to registered users. Price changes do not affect active subscriptions until the next renewal cycle.
Zainside operates a partner referral programme. Referral partners are independent third parties. Zainside does not endorse, guarantee, or take responsibility for the services provided by referral partners. Any engagement with a referred partner is solely between you and that partner. Commission structures are governed by separate partner agreements.
To the maximum extent permitted by applicable law, Zainside and its directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or business interruption, arising from your use of or inability to use the Platform.
Our total aggregate liability to you for any claim arising from these Terms or your use of the Platform shall not exceed the greater of (a) the amount you paid us in the 12 months preceding the claim, or (b) AUD $150. Nothing in this clause limits any liability that cannot be excluded under the Australian Consumer Law.
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or free from harmful components.
You agree to indemnify, defend, and hold harmless Zainside and its directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Platform in breach of these Terms; (b) User Content you submit that infringes the rights of any third party; (c) your violation of any applicable law or regulation; or (d) any claim by a third party arising from your misuse of Platform outputs.
Zainside shall not be liable for any failure or delay in performance of its obligations caused by circumstances beyond its reasonable control, including but not limited to: disruption or failure of third-party AI model providers or APIs; internet or network outages; cyberattacks; natural disasters; government actions; or any other event outside our reasonable control. In such circumstances, we will use reasonable endeavours to restore service as quickly as practicable and will communicate material outages to registered users.
We reserve the right to suspend or terminate your account at any time for breach of these Terms, suspected fraud, or any conduct we reasonably determine to be harmful to other users or the Platform. You may delete your account at any time. Upon termination, your right to access the Platform ceases immediately.
We may update these Terms from time to time. We will notify registered users of material changes via email or in-platform notification. Continued use of the Platform after the effective date of updated Terms constitutes acceptance of those changes.
Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severed from these Terms. The remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms at any time does not constitute a waiver of that right or provision and shall not affect our ability to enforce it in the future.
Entire agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Zainside with respect to your use of the Platform and supersede all prior agreements, representations, or understandings.
No assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
These Terms are governed by the laws of Queensland, Australia. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.
